Image: TokenPost

The Federal Trade Commission (FTC) issued Second Requests to Curium US Holdings LLC and Lantheus Holdings on Oct. 21, extending the Hart-Scott-Rodino waiting period for Curium’s proposed purchase of Lantheus . Both companies received Second Requests on Oct. 21. The Hart-Scott-Rodino waiting period remains in effect until 30 days after both firms have substantially complied with their requests, unless the FTC ends the pause sooner. Under an Aug. 3 merger agreement, Curium would pay $102.50 in cash for each Lantheus share. If the deal closes, shareholders would receive a contingent value right for each share that could pay up to $12 if commercial milestones are met, bringing maximum consideration to $114.50 per share. The announced total deal value is about $8 billion.
